1.Scope and Parties
1.1. These Terms and Conditions (“Terms”) govern the registration for and participation in the Novya Leadership Lab programme (“Programme”) offered via the website https://leadership-lab.novya.eu/ (“Website”).
1.2. The Programme is provided by:

(“Novya”, “we”, “us”, “our”).
1.3. These Terms apply to all individuals who submit an application or booking for the Programme (“Participant”, “you”, “your”). By submitting your details and preferences on the Website, you agree to be bound by these Terms.
2. Programme Description
2.1. The Novya Leadership Lab is a strategic leadership programme for European nonprofit executives, currently consisting of:
- A cohort-based Programme (limited to approximately 12 participants),
- A combination of in-person and online sessions,
- Optional coaching and additional services as described on the Website.
2.2. The Programme details, including format, dates, location, fees and included services, are described on the Website. Novya reserves the right to make minor adjustments to the Programme content, schedule, or faculty where reasonably necessary and without materially reducing the overall value of the Programme.
3. Application, Selection and Contract Formation
3.1. Application
By submitting your details and preferences through the Website application or registration form, you:
- Confirm that the information you provide is accurate and complete;
- Express your wish to participate in the specified Programme cohort ; and
- Acknowledge your commitment to pay the Programme fee corresponding to your selected package (ESSENTIALS, PRO, or PLUS), subject to acceptance and confirmation by Novya.
3.2. Selection and Acceptance
- Submission of an application does not automatically guarantee participation.
- Novya may apply selection criteria in order to maintain a balanced and effective cohort (e.g. role, organisational context, sector diversity).
- You will be informed by email whether your application has been accepted.
3.3. Formation of Contract
- A binding contract between you and Novya is formed when Novya sends a written confirmation of your place in the Programme (for example, by email) and you receive an invoice and/or payment link.
- Your obligation to pay the Programme fee arises upon such confirmation, subject to the payment terms and cancellation provisions in these Terms.
4. Programme Fees and Payment Terms
4.1. Programme Packages and Fees
The packages and fees apply for the Cohort 19 January – 27 March 2026, are described on the Website.
4.2. Taxes
The fees are subject to VAT in accordance with EU and Belgian legislation. Any such taxes will be indicated on the invoice where relevant.
4.3. Payment Terms
- Fees are payable either:
- As a one-off payment for the full Programme, or
- In instalments (monthly), if offered and agreed at the time of booking.
- Payment is due by the date stated on the invoice or payment communication from Novya.
- Payment shall be made by bank transfer, online payment, or other methods indicated by Novya.
4.4. Commitment to Pay
By submitting your details and preferences, you acknowledge your commitment to pay the Programme fee for your selected package if you are accepted into the Cohort. Your participation is conditional on timely payment of the applicable fees.
4.5. Non-Payment
If payment is not received by the due date:
- Novya may suspend your access to the Programme (including sessions, materials and coaching) until payment is received; and/or
- Novya may cancel your place in the Programme and offer it to another candidate. In such case, any refund will be subject to the cancellation terms set out in clause 6.
5. Early Access / Prelaunch Reduction
5.1. From time to time, Novya may offer early access or prelaunch fee reductions (for example, a 15% reduction for early-booking participants). Any such reduction:
- Will be clearly indicated on the Website and/or in written communications; and
- Is applicable only under the conditions and timeframes specified (for example, booking and acceptance before a given date).
5.2. If you qualify for a reduction, the discounted fee will be reflected in your invoice.
6. Cancellations, Withdrawals and Refunds
6.1. Cancellation by Participant (Before Programme Start)
If you wish to cancel your participation before the Programme start date, you must notify Novya in writing (for example, by email). The following conditions apply, unless otherwise agreed in writing:
Cancellation received more than 30 calendar days before the Programme start date:
- 100% refund of fees paid, minus any non-recoverable transaction costs.
Cancellation received between 14 and 30 calendar days before the Programme start date:
- 50% refund of fees paid.
Cancellation received less than 14 calendar days before the Programme start date:
- No refund. You remain liable for the full Programme fee.
6.2. Withdrawal During Programme
If you withdraw from the Programme after it has started (on or after 19 January 2026), no refund will be given, and any outstanding instalments remain payable, unless otherwise required by mandatory law or agreed in writing with Novya.
6.3. Substitution of Participant
- With Novya’s prior written consent, your place in the Programme may be transferred to another suitable participant from your organisation prior to the Programme start date, provided they meet the Programme profile and selection criteria.
- Any administrative, travel, or visa-related costs associated with substitution are the responsibility of your organisation or the substitute participant.
6.4. Cancellation or Postponement by Novya
- Novya reserves the right to cancel or postpone the Programme (or specific sessions) due to insufficient numbers, unavailability of faculty, force majeure, or other serious reasons.
- In the event of complete Programme cancellation by Novya, you will be offered either:
- A full refund of the Programme fee paid; or
- A transfer of your place to a future cohort, if available and agreed.
- In case of postponement of individual sessions, Novya will make reasonable efforts to reschedule the sessions within a reasonable timeframe and to inform participants as early as possible. Such rescheduling will not, by itself, entitle you to a refund, provided the overall Programme is delivered substantially as described.
7. Programme Delivery and Changes
7.1. Location and Modality
- The Programme consists of in-person sessions (in Brussels, Belgium) and online sessions.
- You are responsible for your own travel, accommodation, visa and subsistence costs for in-person sessions.
7.2. Online Participation
You are responsible for ensuring you have adequate internet access, equipment, and a suitable environment to participate in online sessions.
7.3. Changes to Programme
Novya may make reasonable changes to the Programme schedule, modality (online vs in-person), or faculty without materially reducing the quality of the Programme. Where feasible, Novya will inform participants of significant changes in advance.
8. Participant Responsibilities and Conduct
8.1. Active Participation
You are encouraged to participate actively in group discussions, peer coaching and activities, while respecting confidentiality, diversity and professional standards.
8.2. Code of Conduct
- Participants are expected to behave respectfully towards faculty, staff and other participants, both in-person and online.
- Harassment, discrimination, or any seriously disruptive behaviour may lead to exclusion from the Programme without refund, at Novya’s reasonable discretion.
8.3. Confidentiality within the Cohort
- Participants are expected to treat any personal or organisational information shared in the Programme as confidential and not to disclose it outside the group, unless explicit consent has been given.
- Novya will encourage the cohort to agree on practical confidentiality norms at the start of the Programme.
9. Intellectual Property
9.1. Programme Materials
- All Programme materials (including slides, templates, tools, frameworks, handouts, and digital content) are protected by copyright and other intellectual property rights.
- Unless explicitly stated otherwise, such materials are provided for your personal, non-commercial use only.
9.2. Prohibited Use
You may not:
- Copy, distribute, or share Programme materials with third parties (including through online platforms or internal company repositories), or
- Use them to deliver training, coaching or consulting services,
without prior written permission from Novya, except where this would be permitted under mandatory legal exceptions.
9.3. Participant Contributions
- If you share tools, frameworks or content during the Programme, you retain any existing rights in those materials.
- By sharing them in the Programme context, you grant Novya and other participants a non-exclusive licence to use them for learning purposes during and shortly after the Programme.
10. Data Protection and Privacy
10.1. Data Controller
DaVinci Institute Europe SRL, operating under the brand Novya, is the controller of the personal data you provide when applying for and participating in the Programme, within the meaning of Regulation (EU) 2016/679 (General Data Protection Regulation – GDPR).
10.2. Categories and Purpose
We process your personal data (for example, name, contact details, role, organisation, dietary needs, programme preferences) for the following purposes:
- Managing applications and selection;
- Communicating with you about the Programme;
- Organising and delivering sessions (including via online platforms);
- Invoicing, accounting and payment;
- Evaluating and improving the Programme;
- Where relevant, sharing basic details with guest faculty or venue providers for Programme purposes.
10.3. Legal Basis
The processing of your personal data is based on:
- The performance of our contract with you or in order to take steps at your request prior to entering into a contract (Article 6(1)(b) GDPR);
- Our legitimate interests in organising and improving the Programme (Article 6(1)(f) GDPR); and/or
- Your consent, where required by law (for example, for certain marketing communications).
10.4. Data Sharing and Transfers
- We may share personal data with trusted service providers (for example, event venues, online learning platforms, IT and payment service providers), who process data on our behalf under appropriate data processing agreements.
- If personal data is transferred outside the European Economic Area (EEA), we will ensure that adequate safeguards are in place in accordance with GDPR (for example, Standard Contractual Clauses or an adequacy decision).
10.5. Retention
We will retain your personal data only for as long as necessary for the purposes described above, and in line with legal retention requirements (for example, accounting records).
10.6. Your Rights
Under GDPR, you may have the right to:
- Request access to your personal data;
- Request rectification or erasure of your personal data;
- Request restriction of processing;
- Object to certain processing;
- Request data portability; and
- Lodge a complaint with a data protection supervisory authority.

11. Limitation of Liability
11.1. General
Novya will use reasonable care and skill in delivering the Programme. To the maximum extent permitted by applicable law, Novya’s aggregate liability arising from or in connection with the Programme and these Terms (whether in contract, tort or otherwise) is limited to the total Programme fees actually paid by you.
11.2. Exclusions
Novya shall not be liable for:
- Indirect or consequential losses, including loss of profit, loss of opportunity or reputational damage;
- Any travel, accommodation, subsistence or other external costs incurred by you;
- Any losses arising from events beyond our reasonable control (see clause 12).
11.3. Mandatory Liability
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
12. Force Majeure
12.1. Novya shall not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, pandemic, epidemic, war, terrorism, governmental restrictions, strikes, civil unrest, or technical failures of communication networks or platforms.
12.2. In such cases, Novya will use reasonable efforts to adapt the Programme (for example, moving sessions online or rescheduling) and to inform participants as soon as reasonably possible.
13. Applicable Law and Jurisdiction
13.1. These Terms and any dispute arising out of or in connection with them or the Programme shall be governed by and construed in accordance with the laws of Belgium, without prejudice to any mandatory provisions of EU or local consumer law that may apply.
13.2. The courts of Brussels, Belgium, shall have jurisdiction to settle any dispute arising out of or in connection with these Terms, without prejudice to any mandatory rules granting jurisdiction to other courts under EU consumer protection legislation, where applicable.

15. Final Provisions
15.1. If any provision of these Terms is held to be invalid or unenforceable by a competent authority, the remaining provisions shall remain in full force and effect.
15.2. No failure or delay by Novya in exercising any right or remedy under these Terms shall be considered a waiver of that right or remedy.
15.3. Novya may update these Terms from time to time.
